In submitting photo(s) to the City of Grass Valley (the “City”)
and participating in the City’s Photo Contest, I (the
“Contestant”), agree as follows:
• Contestants affirm they have obtained written consent from all
individuals who appear in the photo.
• Contestants further affirm that they have obtained the
necessary rights, licenses, consents and permissions to use and
submit the photo(s) and that this submission violates no
copyright or other intellectual property rights.
• Contestants assume sole responsibility for the submitted
photo(s), the material contained within it, and the consequences
of the submission.
• Except as otherwise disclosed in writing to the City, the
submitted photo is unique and original and does not infringe upon
any copyright or other intellectual property right. If any photo
contains any material or elements that are not owned by
Contestants and/or are subject to the rights of third parties,
Contestants are responsible for obtaining any and all releases
and consents necessary to permit the City’s use of the photo
without additional compensation, before submission,.
• Contestants grant to the City and its designees, licensees, or
affiliates a royalty-free, irrevocable, non-exclusive worldwide
license to reproduce, distribute, and/or display the submitted
photo(s) without payment or further consideration, including,
without limitation, reproduction on City items such as print ads,
postcards, posters, brochures, applications, television programs,
and the City website. The City shall have all rights, title, and
interest to the submitted photo(s) as well as the right to
copyright the submitted photo(s). The City may use the submitted
photo(s) on City merchandise and commercial items which may be
sold for fundraising purposes. The City may alter images of the
submitted photo(s) as necessary to fit into reduced or enlarged
format sizes. The City may sell, assign, license, or otherwise
transfer all rights granted to it.
• Contestants agree to release, indemnify, and hold harmless the
City, its agents, officials, employees, and volunteers from and
against all liability, claims or causes of action, including, but
not limited to, claims for copyright infringement or invasion of
privacy, arising out of or related to Contestants’ participation
in the City’s Photo Contest or City’s use of the submitted
photo(s). Contestants expressly waive any rights they may have
under Cal. Civ. Code § 987 or 17 U.S.C. §§ 101 et seq.,
including, without limitation, 17 U.S.C. §§ 106, 106A, and 113,
or any successor statute(s) or regulation(s).
• Contestants agree that all disputes, claims and causes of
action arising out of, or connected with, the City’s Photo
Contest shall be governed by, and construed in accordance with,
California law, and shall be resolved by the appropriate court
with venue over Nevada County.
• This Release shall be binding upon me and my heirs, legal
representatives, and assigns.
• I have read the foregoing, had opportunity to ask questions
about it, and fully understand its contents.
